Brexit Trigger Event definition

Brexit Trigger Event means the occurrence of an Adverse Impact caused directly by Brexit or any discussions, proposals, negotiations or any other steps taken by the UK government or a body in any other jurisdiction in anticipation of or related to preparation for Brexit.
Brexit Trigger Event means any of the following events occurring if caused by Brexit or any discussions, proposals, negotiations or any other steps taken by the UK government or a body in any other jurisdiction in anticipation of or related to preparation for Brexit:

Examples of Brexit Trigger Event in a sentence

  • Brexit Trigger Event: a substantial adverse impact on a party’s ability to perform this agreement in accordance with its terms and applicable laws caused by Brexit and occurring at any time after Brexit.

  • The Council may initiate a negotiation under Clause 26.1.1 by a notice (Brexit Notice) giving reasonable details of the relevant Brexit Trigger Event and Adverse Impact.

  • Where Dialight is adversely affected by a Brexit Trigger Event it may initiate a renegotiation of the terms of this Contract by serving a notice (a “Brexit Notice”) that gives reasonable details of the relevant Brexit Trigger Event and how it has been adversely affected by it.

  • If a Brexit Trigger Event occurs, the Seller may serve notice requiring the Buyer to negotiate in good faith an amendment to this agreement to alleviate the Brexit Trigger Event.

  • Save as expressly provided in this clause 19, a Brexit Trigger Event shall not terminate or alter (or give any party a right to terminate or alter) this contract, or invalidate any of its terms or discharge or excuse performance under it.

Brexit Trigger Event means any of the following events whenever
Brexit Trigger Event means an adverse impact on M247’s ability to perform any part of its obligations under this Agreement and/or an increase in the costs incurred by M247 in performing its obligations under this Agreement;

For these purposes, ‘Law’ means any legal provision a Party must comply with including any law, statute, subordinate legislation within the meaning of section 21(1) of the Interpretation Act 1978, enforceable EU right within the meaning of section 2 of the European Communities Act 1972, bye-law, regulation, order, mandatory guidance or code of practice, judgment of a court of law, or requirement of any regulatory body, whether in the UK or elsewhere; 30.4.2 in any jurisdiction, the loss of, a change to or the imposition of a new requirement for any licence or consent required by a Party to perform its obligations under this Agreement; 30.4.3 in any jurisdiction, the imposition of or a change to a duty, tax or levy imposed on a Party which affects its commercial ability to be comply with its obligations under this Agreement; or 30.4.4 any other change to the business or economic environment in which a Party operates other than as provided for in clauses 30.4.1, 30.4.2 or 30.4.3.
Brexit Trigger Event means any of the following events occurring at any time after the UK ceases to be subject to the transition or implementation arrangements provided for by Part 4 of the withdrawal agreement between the UK and the European Union negotiated under Article 50(2) of the Treaty of the European Union which sets out the arrangements for the UK's withdrawal from the European Union (as such arrangements are extended from time to time): • a substantial adverse impact on a party's ability to perform its obligations under the MSA in accordance with its terms and the law; • an increase in the costs incurred by a party in performing the Services which is greater than the increase in the CPI occurring over any Year since the price for the Services was last agreed; • the price of the Services under this MSA is lower than the market value for similar products or services;
