The provisions contained in Schedule 7 and Schedule 8 to the Building Management Ordinance (Cap.344) shall be deemed to be incorporated into and form part of this Deed.
Notwithstanding anything hereinbefore contained, it is hereby declared and agreed that subject to the provisions of the Building Management Ordinance (Cap.344), at no time shall the Lot and the Development be without a responsible duly appointed manager to manage the Lot and the Development or any part or parts thereof after execution of this Deed.

As soon as practicable but not later than nine (9) months from the date of this Deed, the Manager shall convene a meeting of the Owners to establish an Owners’ Committee and appoint a chairman thereof or to appoint a management committee for the purpose of forming an Owners’ Corporation under the Building Management Ordinance (Cap.344).
When the Owners' Corporation acts as the Manager, the provisions in this Section VI shall only apply to the extent that they do not conflict with or are not inconsistent with the provisions of the Building Management Ordinance and, in case of conflict, the latter shall prevail.
The Manager shall as soon as possible but not later than nine (9) months from the date of this Deed convene the first meeting of Owners (and to call further and subsequent meetings, if required), which meeting shall appoint a chairman and the Owners' Committee or shall appoint a management committee for the purpose of forming the Owners' Corporation under the Building Management Ordinance.
In the event of any dispute arising out of the interpretation of the provisions in Schedules 7 and 8 to the Building Management Ordinance and the provisions of this Deed, the former shall prevail.
