Business Source Code definition

Business Source Code means the source code for any Software included in the Customer Offerings or other confidential information constituting, embodied in or pertaining to such Software.
Business Source Code means any Source Code of any Business-Utilized Intellectual Property or Business Products.
Business Source Code means, collectively, any human readable software source code, or any material portion or aspect of the software source code, or any material proprietary information or algorithm contained in or relating to any software source code that constitutes any Business Owned IP Rights or for any Business Product or Service.

  • No event has occurred, and no circumstance or condition exists, that (with or without notice or lapse of time, or both) will, or would reasonably be expected to, result in the disclosure, delivery or license by Seller of any Business Source Code, other than disclosures to employees and consultants involved in the development of Business Products under binding written agreements that prohibit use or disclosure except in the performance of services for Seller.

More Definitions of Business Source Code

Business Source Code means the source code of all Acquired Technology (including Business Products), together with all extracts, portions and segments thereof. “Business Territory” means worldwide.
Business Source Code means, collectively, any software source code or database specifications or designs, or any proprietary information, build scripts, test scripts, documentation, instructions or algorithms contained in or relating to any software included in the Business Intellectual Property or the Business Products which is on github.com/bellycard.
Business Source Code means any source code included in the Business Products or otherwise in the Owned Intellectual Property. “Calculation Time” means immediately prior to the Closing. “Cash” means, as of any time of determination, without duplication, (i) the aggregate amount of all cash and cash equivalents of the Transferred Entities (including freely marketable securities, short-term investments and other liquid investments), plus (ii) all deposits in transit or amounts held for deposit that have not yet cleared, other wire transfers and drafts deposited or received and available for deposit, minus (iii) outstanding checks, transfers and drafts. “Closing Cash Amount” means the amount of Cash as of the Calculation Time. “Closing Indebtedness Amount” means the amount of Indebtedness as of the Calculation Time. “Closing Transaction Expense Amount” means the amount of Transaction Expenses, to the extent unpaid as of the Calculation Time. “Closing Working Capital Amount” means the amount of Working Capital as of the Calculation Time. “Code” means the U.S. Internal Revenue Code of 1986. “Collective Bargaining Agreement” means any collective bargaining agreement or other Contract with a labor union, works council or labor organization that covers any Business Employee in connection with their employment with Parent, the Sellers, the Transferred Entities or any of their Affiliates. “Confidentiality Agreement” means the confidentiality agreement, dated as of August 27, 2020, by and between Parent and Purchaser.
Business Source Code means, any software Source Code owned by Seller Parties or embodied, incorporated or used in the Business that is Transferred IP.
Business Source Code means the source code of all Acquired Technology (including Business Products), together with all extracts, portions and segments thereof.
Business Source Code has the meaning set forth in Section 2.4(l).

Related to Business Source Code

  • Company Source Code means the source code for any Software included in the Customer Offerings or Internal Systems or other confidential information constituting, embodied in or pertaining to such Software.

  • Business Software means all Software owned by or developed by a Seller for or in connection with the Business.

  • Source Code for a work means the preferred form of the work for making modifications to it. “Object code” means any non-source form of a work.

  • Open Source Code means any software code that is distributed as “free software” or “open source software” or is otherwise distributed publicly in source code form under terms that permit modification and redistribution of such software. Open Source Code includes software code that is licensed under the GNU General Public License, GNU Lesser General Public License, Mozilla License, Common Public License, Apache License, BSD License, Artistic License, or Sun Community Source License.

  • Business Systems means all Software, computer hardware (whether general or special purpose), electronic data processing, information, record keeping, communications, telecommunications, networks, interfaces, platforms, servers, peripherals, and computer systems, including any outsourced systems and processes, that are owned or used or held for use in the conduct of the Company Business.
