Call Trigger Event definition

Call Trigger Event means any date prior to the Termination Date as defined below, following a date not earlier than ninety (90) days after which the Company’s Common Stock shall have commenced trading on a national exchange or shall have become subject to quotation on the OTC:BB, and the closing price of the Company’s Common Stock on such national exchange or the closing bid price of the Company’s Common Stock on the OTC:BB during the five (5) consecutive trading days prior to the date of the Call Trigger Event shall be higher than $1.00 per share.
Call Trigger Event has the meaning set forth in Section 3.7(a).
Call Trigger Event means any date prior to the Termination Date after which the daily closing prices per share of Common Stock on NASDAQ for each of the five (5) consecutive trading days prior thereto is greater than or equal to the Call Price.

Examples of Call Trigger Event in a sentence

  • The Company shall provide written notice of the occurrence of the Call Trigger Event to each Warrant Holder.

  • If no action is taken by a Warrant Holder within thirty days after receipt of notice of a Call Trigger Event, then the Warrants held by such Holder shall be deemed terminated.

  • The Company shall provide written notice of the occurrence of the Call Trigger Event to each Option Holder.

  • If no action is taken by a Option Holder within thirty days after receipt of notice of a Call Trigger Event, then the Options held by such Holder shall be deemed terminated.

  • Borrowers shall not declare or make, or agree to pay or make any Restricted Payments, or incur any obligation to do so, unless (x) no Default, Event of Default, Mandatory Prepayment Event, Collateral Call Trigger Event or Adjustment Determination Period shall have occurred and be continuing or would result therefrom and (y) the cash, securities or property so paid or distributed does not constitute, and is not required under the Margin Loan Documentation to be posted as, Collateral.

  • Borrower shall not declare or make, or agree to pay or make any Restricted Payments, or incur any obligation to do so, unless (x) no Default, Event of Default, Mandatory Prepayment Event, Collateral Call Trigger Event or Adjustment Determination Period shall have occurred and be continuing or would result therefrom and (y) the cash, securities or property so paid or distributed does not constitute, and is not required under the Margin Loan Documentation to be posted as, Collateral.

  • If no action is taken by a Holder within thirty days after receipt of notice of a Call Trigger Event, then the Warrants held by such Holder shall be deemed terminated.

  • If KCAP does not exercise the Call Option within the time period set forth above, then the Call Option with respect to such Call Trigger Event shall terminate.

  • The Call Option Notice shall state the proposed date for the consummation of the Call Trigger Event and shall include a statement (the "Call Option Price Statement") of the CO Purchaser's calculation of the Call Option Price (and the basis for such calculation).

  • As of the date of the Call Trigger Event, all warrant shares which are issuable pursuant to the Warrant Certificates shall be deemed earned and issuable notwithstanding the adjustment provisions contained in Section 2.2(a) above.


More Definitions of Call Trigger Event

Call Trigger Event means (i) a Change of Control involving F3 Opportunities, (ii) a Material Adverse Change in any tax laws or regulations or the interpretation thereof or any accounting or regulatory treatment or the interpretation thereof affecting KCAP as a result of its ownership in the Company, in each as certified thereto in writing by KCAP’s legal counsel, independent registered public accounting firm or other similar third-party or (iii) a Deadlock.
Call Trigger Event means (i) a Change of Control involving F3 Opportunities, (ii) a Material Adverse Change in any tax laws or regulations or the interpretation thereof or any accounting or regulatory treatment or the interpretation thereof affecting KCAP as a result of its ownership in the Company, in each as certified thereto in writing by KCAP’s legal counsel, independent registered public accounting firm or other similar third-party or
Call Trigger Event. The occurrence of one or more of the following events:

Related to Call Trigger Event

  • Auto-Call Trigger Event means an event which occurs if, in the determination of the Calculation Agent, the Index Performance as of the Valuation Time on an Auto-Call Valuation Date is greater than or equal to the relevant Auto-Call Trigger Level.

  • Auto-Call Trigger Rate means the applicable percentage in respect of the relevant Auto-Call Valuation Date on which an Auto-Call Trigger Event has occurred as set out in the definition of Auto-Call Trigger Level above (i.e. as shown in the same row as that date).

  • Auto-Call Trigger Level means the level set out below for the relevant Auto-Call Valuation Date (i.e. as shown in the same row as that date):

  • Trigger Event shall have the meaning specified in Section 14.04(c).

  • Ratings Trigger Event has the meaning set forth in Section 3.14 of the Sale and Servicing Agreement.
