Change in Applicable Laws definition

Change in Applicable Laws means the enactment, adoption, promulgation, modification, issuance, repeal or amendment of any Applicable Laws that occur after the date this Agreement is executed by both Parties.
Change in Applicable Laws means the occurrence, after the date of this Agreement, of any of the following: (a) the adoption or taking effect of any Applicable Law, (b) any change in any Applicable Law or in the administration, interpretation or application thereof by any Governmental Authority or (c) the making or issuance of any new Applicable Law by any Governmental Authority.
Change in Applicable Laws means any of the following events on or after the Execution Date: (i) the entry into force or adoption of any law, decree, resolution, or treaty; (ii) Any change of the administration, interpretation, and/or application of the above by a Governmental Authority; (iii) the entry into force or mandatory adoption of the requirements, guides, resolutions, or directives enacted by the Bank for International Settlements, the Basel Committee on Banking Supervision (or any of its successors), or any Governmental Authority of Colombia, El Salvador , Nicaragua, Guatemala, Panama, the Dominican Republic and/or Costa Rica in relation to the Basel III Agreements; (iv) Any modification to a law, decree, resolution or rule, either to its interpretation or application by a Governmental Authority; or (v) the issuance of any requirement, circular, decision, or directive (with or without legal force) by a Governmental Authority.

Examples of Change in Applicable Laws in a sentence

  • The obligation to pay such Additional Compensation for subsequent periods will continue until the earlier of change in capital requirement or the lapse or cessation of the Change in Applicable Laws giving rise to the initial Additional Compensation.

  • In the event of a Change in Applicable Laws, the Lenders shall follow the provisions of Section 2.15 below.


More Definitions of Change in Applicable Laws

Change in Applicable Laws means the occurrence, after the date of this Agreement, of any of the following: (a) the adoption or taking effect of any Applicable Laws, (b) any change in any Applicable Laws or in the administration, interpretation, implementation or application thereof by any Governmental Authority or (c) the making or issuance of any Applicable Laws by any Governmental Authority; provided that notwithstanding anything herein to the contrary, (x) the ▇▇▇▇ ▇▇▇▇▇ Wall Street Reform and Consumer Protection Act and all requests, rules, guidelines or directives thereunder or issued in connection therewith and (y) all requests, rules, guidelines or directives promulgated by the Bank of International Settlements, the Basel Committee on Banking Supervision (or any successor or similar authority) or the Canadian or foreign regulatory authorities, in each case pursuant to Basel III, shall in each case be deemed to be a “Change in Applicable Laws”, regardless of the date enacted, adopted or issued.

  • Applicable Laws means the requirements relating to the administration of equity-based awards under U.S. state corporate laws, U.S. federal and state securities laws, the Code, any stock exchange or quotation system on which the Common Stock is listed or quoted and the applicable laws of any foreign country or jurisdiction where Awards are, or will be, granted under the Plan.

  • Tax Laws means the Code, federal, state, county, local or foreign laws relating to Taxes and any regulations or official administrative pronouncements released thereunder.

  • Applicable Laws and Regulations means all duly promulgated applicable federal, State and local laws, regulations, rules, ordinances, codes, decrees, judgments, directives, or judicial or administrative orders, permits and other duly authorized actions of any Governmental Authority having jurisdiction over the relevant parties, their respective facilities, and/or the respective services they provide.

  • Legal Requirements means any federal, state, local, municipal, foreign or other law, statute, constitution, principle of common law, resolution, ordinance, code, order, edict, decree, rule, regulation, ruling or requirement issued, enacted, adopted, promulgated, implemented or otherwise put into effect by or under the authority of any Governmental Entity.
