Class A-4 Swap Counterparty definition

Class A-4 Swap Counterparty means the Swap Counterparty under the Class A-4 Swap Agreement.

Class A-4 Swap Counterparty means Westdeutsche Landesbank Girozentrale, in its capacity as Swap Counterparty under the Class A-4 Swap Agreement and its successors and assigns in such capacity.

  • The Seller will indemnify, defend and hold harmless the Class A-4 Swap Counterparty for any Losses that may be imposed on, incurred by or asserted against the Class A-4 Swap Counterparty as a result of such termination.

  • With respect to each Payment Date and the related Collection Period, the Servicer will provide to each Trustee, the Class A-4 Swap Counterparty and each Rating Agency, on the related Determination Date, a monthly statement (a "Monthly Report") substantially in the form of Exhibit D hereto.

  • Any up-front amounts paid by such Replacement Counterparty (net of any expenses of the Certificate Issuer or the Certificate Trustee which may be reimbursable under the Class A-4 Swap Agreement) in connection with its entering into such replacement Class A-4 Swap Agreement shall be paid to the terminated Class A-4 Swap Counterparty.

  • Any amounts paid by such Replacement Counterparty in connection with its entering into such replacement Class A-4 Swap Agreement shall be paid to the terminated Class A-4 Swap Counterparty (to the extent of any termination payment paid to the Certificate Issuer by the Replacement Swap Counterparty).

  • Promptly following its receipt of notice hereunder or under any other Transaction Document of any Event of Default, the Indenture Trustee shall send a copy thereof to the Issuer, the Class A-4 Swap Counterparty and each Rating Agency.

  • Swap Counterparty means Lender or an Affiliate of Lender, in its capacity as counterparty under any Swap Contract.
