Class A Action definition
Class A Action has the meaning specified in Section 9.2(a)(i).
Class A Action means action by the holders of a majority of the Votes represented by the Class A Stock taken by a vote at either a regular or special meeting of the stockholders of this Corporation or of the holders of the Class A Stock or by written consent delivered to the Secretary of this Corporation.

In the exceptional circumstance that, notwithstanding the foregoing and after consultation at the highest levels, the parties are unable to agree upon a common position on such issue, the parties shall abstain from voting on such issue or shall abstain from taking such Class A Action with respect to such issue, as the case may be.
