Class A Options definition

Class A Options shall have the meaning set forth in Article 5.5 of the Management Company Certificate.
Class A Options shall have the meaning set forth in Article 5.5 of the Certificate of Incorporation.
Class A Options means the type of Options which will be issued with vesting conditions as stated in Clause 10.1 of this Scheme.

Examples of Class A Options in a sentence

  • The Class C Options, together with the Class B Options and the Class A Options are collectively referred to herein as the "Options".

  • The Management Company will at all times reserve and keep available a sufficient number of authorized but unissued shares of Class A Common Stock to permit the conversion of the outstanding shares of Class B Common Stock, Membership Units, and shares of convertible Preferred Stock and the exercise of any outstanding Class A Options.

  • At the Effective Time, the TopCo 2011 Stock Option Plan and each option agreement associated therewith and all Class A Options shall, pursuant to actions taken by the TopCo Board under the TopCo 2011 Stock Option Plan, be terminated in all respects and shall be of no further force or effect.

  • For the avoidance of doubt, the Company hereby acknowledges that it is not altering the vesting period or vesting schedule with respect to the Additional Class A Options from that set forth in Section 9 of the Plan and that the Additional Class A Options shall vest over a three year period beginning on the date hereof (subject to Sections 9(d) and 9(e) of the Plan).

Class A Options means, collectively, the RMH Class A Options, the GGH Class A Options and the LGH Class A Options;

Related to Class A Options

  • Class A Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to five (5) years, in the form of Exhibit A attached hereto.

  • Class A Ordinary Shares means the Company’s Class A ordinary shares, par value $0.0001 per share.

  • Vested Options means the Options that have vested in accordance with Section 1.3 of this Agreement.

  • Class A Ordinary Share Value means, as of the close of business on the day preceding the date, the volume weighted average trading price of the Class A Ordinary Shares on all trading platforms or trading systems on which the Class A Ordinary Shares are being traded over the forty-five (45) trading days then ended, provided, that if the total aggregate trading volume over such 45-trading-day period is less than 5% of the public float, such period shall be extended to the ninety (90) trading days then ended, provided, further, if the total aggregate trading volume over such 90-trading-day period is less than 5% of the public float, the holder of the Class B Ordinary Shares shall request that the Board obtain an appraisal of the value of the Class A Ordinary Shares from one or more independent nationally-recognized third party appraisal companies and such appraisal shall constitute the Class A Ordinary Share Value.

  • Class C Shares means shares of the Class C Common Stock.
