Class B Common Members definition

Class B Common Members means the Members of the Company that hold Class B Common Membership Interests, in such capacity.
Class B Common Members means the Members of the Company that hold Class B Common Membership Interests, in such capacity. “Class B Common Membership Interests” has the meaning set forth in Section 2.1(a).
Class B Common Members means Reckson and its permitted successors ------------------------- and assigns and any other Persons who may be admitted to the Company as Class B Common Members pursuant to the terms hereof.

Examples of Class B Common Members in a sentence

  • The provisions of this Section 16 are solely for the benefit of the Administrative Agent and the Class A Limited Members, and the Company and the Class B Common Members shall have no rights as a third party beneficiary of any of such provisions.

  • Any such alternates shall be specified in writing by such Class B Common Members to the Secretary of the Company.

  • Each Class B Common Interest shall entitle the holder thereof to one vote upon all matters upon which Class B Common Members have the right to vote.

  • The persons named in Annex A hereto are hereby designated by the Class B Common Members as the initial Managers of the Company.

  • Any one or more Managers may be removed, with or without cause, at any time by Majority Vote of the Class B Common Members acting in person or by proxy at a meeting of Class B Common Members or (ii) by a consent in writing in the manner contemplated in Section 2.3(i).

  • The percentage of the Class B Common Membership Interest in the Company to be received by the Class A Preferred Member shall be determined based on the ratio of (i) the Conversion Value to (ii) the sum of the Conversion Value and the aggregate Capital Contributions of all other Class B Common Members as of the Conversion/Transfer Date.

  • An alternate Manager may be appointed by Majority Vote of the Class B Common Members to act for and fulfill the obligations of any Manager in the event that such Manager is unable to attend any meeting of the Managers or any committee thereof.

  • Four Managers (the "Class A Managers") shall be designated by Majority Vote of the Class A Common Members, four Managers (the "Class B Managers") shall be designated by Majority Vote of the Class B Common Members and one Manager (the "Independent Manager") shall be designated by Majority Vote of the Class B Common Members, but such designation shall not be effective unless such designee shall have been approved by Majority Vote of the Class A Common Members.

  • The persons named in Part 1 of Annex B hereto are hereby designated by the Class A Common Members as the initial Class A Managers of the Company, the persons named in Part 2 of said Annex B are hereby designated by the Class B Common Members as the initial Class B Managers, and the person named in Part 3 of said Annex B is hereby designated by the Class B Common Members and approved by the Class A Common Members as the Independent Manager.

  • Any appointment of an alternate Manager maybe changed by Majority Vote of the Class B Common Members.
