On and after the Class A Invested Amount has been paid in full, and on each Distribution Date thereafter until the Class B Invested Amount is paid in full, the Paying Agent shall pay in accordance with Section 5.1 of the Agreement to the Class B Securityholder from the Distribution Account such amounts deposited with respect to Class B Principal into the Distribution Account on the related Transfer Date.

On each Distribution Date, the Paying Agent shall distribute to each Class B Securityholder of record on the last day of the preceding calendar month (each a "Record Date") such Class B Securityholder's pro rata share of such amounts (including amounts on deposit in the Collection Account) as are payable to the Class B Securityholders pursuant to the Agreement and the Supplement.

The Class B Securityholder, by the acceptance of this Class B Security, agrees to treat this Class B Security for federal, state and local income and franchise tax purposes as debt of the Transferor.
If any Class B Securityholder exercises its Right of First Offer hereunder, the closing of the purchase of the New Securities with respect to which such right has been exercised shall take place within fifteen (15) Business Days after such Class B Securityholder gives notice of such exercise, which period of time may be delayed up to thirty (30) Business Days in order to permit such acquisition of such New Securities to be made in conformity with applicable laws, including the HSR Act.
Subject to the terms and conditions contained in this Section 9, the Company grants to each Class B Securityholder and each Qualifying Class A Securityholder (each a “New Securities Offeree” and, collectively, the “New Security Offerees”) the right of first offer to purchase such New Security Offeree’s Pro-Rata Portion (as defined below) of any New Securities (as defined below), that the Company or any of its Subsidiaries may, from time to time, propose to sell and issue (the “Right of First Offer”).
