If an owner of Class B Units desires to Transfer all or a portion of such Person's Class B Units to any Person who is not a Class B Member or Class B Unit Holder, then such Transfer shall not constitute a Permitted Transfer unless such transfer occurs in full compliance with the terms of this Agreement.
Class B Units are nonvoting, and no Class B Unit Holder shall have any right to vote on any matter coming to a vote of the Members on account of any Class B Units.

On Class B Voting Matters, each Class B Unit Holder shall be entitled to that number of votes that is equivalent to such Class B Unit Holder's voting percentage set forth beside such Member's name on Schedule A, and all Class B Voting Matters shall be decided, except as otherwise provided herein, by a majority of the voting power of the Class B Unit Holders.
