Class R-2 Certificate. Any Certificate designated a “Class R-2 Certificate” on the face thereof, in the form set forth in Exhibit A-5 hereto, evidencing the Residual Interest in REMIC II and representing the right to the Percentage Interest of distributions provided for the Class R-2 Certificates as set forth herein.

  • Cash of $50 will be deposited into REMIC II and shall be paid out on the first Distribution Date to the Class R-2 Certificate.

  • The Certificate Registrar shall be under no liability to any Person for any registration of transfer of a Class R-1 or Class R-2 Certificate that is in fact not permitted by this Section or for making any distributions due on such Class R-1 or Class R-2 Certificate to the Holder thereof or taking any other action with respect to such Holder under the provisions of this Agreement so long as the Certificate Registrar received the documents specified in clause (iii).

  • The Class R-2 Certificate represents ownership of the sole class of residual interest in Upper-Tier REMIC 2 as well as ownership of the Class LT2-R Interest.
