Class S VFN definition

Class S VFN has the same meaning as in the Trust Deed;
Class S VFN means the £7,952,955 Class S variable funding note due 2050, constituted by the Trust Deed or the amount thereof from time to time outstanding or, as the context may require, a specific number thereof;
Class S VFN and "Notes" have the same meaning as indicated in the Deed of Charge (as defined below).

Examples of Class S VFN in a sentence

  • No certificate evidencing entitlement to the Class S VFN will be issued.

  • The Class S VFN Drawdown Ledger will be credited to the Transaction Account.

  • No transfer or assignment of the Class S VFN otherwise permitted hereunder shall be effective unless and until it has been duly recorded in the Class S VFN Register as provided in Clause 3.10(f) above.

  • Each Note (other than the Class S VFN) shall be dated the date of its authentication.

  • Notes (other than the Class S VFN) will be represented by one or more permanent global notes in fully registered form without interest coupons (each such global note in relation to a class of those Notes being a "Global Note").

  • The Issuer will cause to be kept at the Specified Office of Citibank, N.A., London Branch as registrar (the "Registrar" which expression shall include its successors as registrar under the Agency Agreement) a register (the "Register") on which shall be entered the names and addresses of the holders of the Notes (other than the Class S VFN) and the particulars of such Notes held by them and all transfers and redemptions of such Notes.

  • The Class S VFN Drawdown Ledger will be funded in accordance with Clause 6.14.2.

  • No transfer of a Note (other than the Class S VFN) will be valid unless and until entered on the Register.

  • In the case of Definitive Notes, upon any payment under clause 8.2 of the Deed of Charge (other than payment in full against surrender of a Definitive Note), the Trustee shall cause the Registrar and/or the Class S VFN Registrar to make appropriate annotations in the Register or the Class S VFN Register (as applicable).

  • The Notes (other than the Class S VFN) are issued in minimum denominations of £100,000.

  • Class S designation on the face thereof, substantially in the form of Exhibit A-5 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.

  • Class H designation on the face thereof, substantially in the form of Exhibit A-4 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.

  • Class X-D Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-12 hereto.

  • Group II Class A Certificates The Class A-2a Certificates, the Class A-2b Certificates, the Class A-2c Certificates and the Class A-2d Certificates, collectively.
