Closing Addition has the meaning set forth in Section 1.05(a).

  • The “Initial Purchase Price” shall be an initial amount equal to (a) Sixty Three Million Four Hundred Two Thousand Seven Hundred Ninety Nine and 90/100 Dollars ($63,402,799.90), less (b) the amount of the Closing Reduction, if any, plus (c) the amount of the Closing Addition, if any.
