The “Initial Purchase Price” shall be an initial amount equal to (a) Sixty Three Million Four Hundred Two Thousand Seven Hundred Ninety Nine and 90/100 Dollars ($63,402,799.90), less (b) the amount of the Closing Reduction, if any, plus (c) the amount of the Closing Addition, if any.
The “Initial Cash Purchase Price” shall be an initial amount equal to (i) One Hundred Thirty Seven Million Nine Hundred Twenty Thousand Dollars ($137.92 million), less (ii) the amount of the Closing Reduction, if any, plus (iii) the amount of the Estimated Cash and Cash Equivalents, plus (iv) the amount of the Closing Addition, if any.
