Closing Statement Methodologies. Section 2.5(a) “COLI” Section 3.13(i)
Closing Statement Methodologies has the meaning ascribed to such term in Section 1.6(a).
Closing Statement Methodologies means the methodologies, procedures, judgments, assumptions, and estimates set forth on Section 1.1 of the Seller Disclosure Schedule and, to the extent not set forth therein, SAP applied in a manner consistent with the preparation of the annual statutory statements of the Insurance Companies for the year ended December 31, 2023.

Examples of Closing Statement Methodologies in a sentence

  • The Transaction Consultant shall make a determination with respect to the Unresolved Items only and in a manner consistent with this Section 2.5 and the Closing Statement Methodologies, and in no event shall the Transaction Consultant’s determination of the Unresolved Items be for an amount that is outside the range of Purchaser’s and Seller’s disagreement.

  • For illustrative purposes only (except with respect to the representation set forth in the last sentence of Section 3.16(a)(i)), attached as Schedule 2.5(a)(iii) hereto is an Estimated Closing Statement as of and for the period ended on December 31, 2012, calculated using the Closing Statement Methodologies (the “Pro Forma Closing Statement”).

Related to Closing Statement Methodologies

  • Closing Statement means the Closing Statement in the form on Annex A attached hereto.

  • Draft Closing Statement means a draft closing statement, prepared by Seller, as of the close of business of the third (3rd) business day preceding the Closing Date setting forth an estimated calculation of both the Purchase Price and the Estimated Payment Amount.

  • Pre-Closing Statement has the meaning set forth in Section 2.4(a).

  • Closing Statements has the meaning specified in Section 4.3(a)(ii).

  • Post-Closing Statement has the meaning set forth in Section 3.3(c).
