Cloudera and its licensors and suppliers retain all right, title and interest in and to: (a) Cloudera Online Services including any and all underlying technology related thereto; (b) Documentation; (c) Sample VPCs; (d) Sample Data; (e) Cloudera Software; (f) all Cloudera trademarks and logos included in any of the foregoing, and (g) any derivative works or modifications of any of the foregoing, including all Intellectual Property Rights therein and thereto (collectively, the “Cloudera Technology”).
Customer shall not use, nor allow the transfer, transmission, export or re-export of Cloudera Online Services, Cloudera Software or any portion thereof, technology, services or data, in violation of any Export Control Laws administered by the BIS, OFAC, or any other U.S. government agency, nor shall Customer’s use of such products, technology, services or data give rise to a violation by Cloudera of any Export Control Laws or any other applicable export control and economic sanctions laws and regulations.

Cloudera Software means Cloudera’s proprietary software components set forth in the applicable Order Form. For avoidance of doubt, Cloudera Software does not include software that is subject to an open source license. “Intellectual Property Rights” means all patents, copyrights, moral rights, trademarks, trade secrets and any other form of intellectual property rights recognized in any jurisdiction, including applications and registrations for any of the foregoing.

Cloudera Software means, for purposes of the Agreement, the hosted software that is part of a Cloudera Online Service, or any software distributed to Customer as part of and/or to enable the delivery of Cloudera Online Services (including software deployed to a Workload Environment and/or On-Premise/Private Cloud Environment, as such terms are defined in the Cloudera Product & Service Data Policy).

Cloudera Software means the software set forth in Exhibit A.

Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.
Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.
Computer software means computer programs, source code, source code listings, object code listings, design details, algorithms, processes, flow charts, formulae and related material that would enable the software to be reproduced, recreated, or recompiled. Computer software does not include computer data bases or computer software documentation.
