Collateral Call is a notice to a Participant that additional Financial Security, or possibly early payment, is required in order to remain in, or to regain, compliance with this policy.
Borrowers shall not declare or make, or agree to pay or make any Restricted Payments, or incur any obligation to do so, unless (x) no Default, Event of Default, Mandatory Prepayment Event, Collateral Call Trigger Event or Adjustment Determination Period shall have occurred and be continuing or would result therefrom and (y) the cash, securities or property so paid or distributed does not constitute, and is not required under the Margin Loan Documentation to be posted as, Collateral.
Delivery of an executed counterpart of a signature page to this Second Collateral Call Extension Letter by telecopier shall be effective as delivery of an original executed counterpart of this Second Collateral Call Extension Letter.
Nothing in this Second Collateral Call Extension Letter shall affect any right that any party may otherwise have to bring any action or proceeding relating to this Second Collateral Call Extension Letter in the courts of any jurisdiction.
This Second Collateral Call Extension Letter may be executed in any number of counterparts and by different parties hereto in separate counterparts, each of which when so executed shall be deemed to be an original and all of which taken together shall constitute one and the same agreement.
