  • If the Company elects to issue the Commitment Securities, the number of shares to be issued as Commitment Securities shall be determined by dividing (x) two percent (2%) of the Commitment Amount by (y) the average VWAP of the Company’s Common Shares for the five (5) Business Days immediately preceding the Execution Date.
