In the event that either the OII Common Stock Conversion Price or the OII Preferred Stock Conversion Price is adjusted pursuant to Section 3.5(d)(iii) or Section 3.5(d)(iv), respectively, the number of shares of OII Common Stock or OII Preferred Stock that OptiMark shall be required to cause OptiMark, Inc.
The Borrower may not elect to have this Note converted into Common Stock pursuant to Section 4.1 of this Note unless the VWAP (as hereinafter defined) for the Borrower’s Common Stock is at least 150% of the Common Stock Conversion Price for at least 30 out of the 40 trading days immediately prior to the date that the Borrower elects to convert.

If any fractional interest in securities would be issuable upon any conversion hereunder, the Borrower shall make cash payment for the portion of the Common Stock Conversion Price that would otherwise require the delivery of certificates representing such fractional interest.
In the event that either the OII Common Stock Conversion Price or the OII Preferred Stock Conversion Price is adjusted pursuant to Section 3.5(d)(iii) or Section 3.5(d)(iv), respectively, the number of shares of OII Common Stock by which OptiMark's right to reacquire shall decrease pursuant to Section 3.5(a)(ii) OII Common Stock or OII Preferred Stock that OptiMark shall be required to cause OptiMark, Inc.
The provision of this subsection 3(a) shall not apply to any dividends or distributions that would result in an adjustment of the Common Stock Conversion Price (as hereinafter defined) pursuant to Section 5(f).
If and whenever the Maker issues or sells, or in accordance with Section 5(c) hereof is deemed to have issued or sold, any shares of Common Stock for an effective consideration per share of less than the then Common Stock Conversion Price (as defined herein) or for no consideration then, the Conversion Price shall be adjusted pursuant to this Section 5(c).
The Common Stock Conversion Price per share of Common Stock shall be determined prior to closing.
All, but not less than all, of this Debenture is subject to conversion (the "Conversion") into shares of the Maker's common stock ("Common Stock") at any time, at the option of the Payee, at a conversion price of $5.00 per share of Common Stock ("Conversion Price") of the Maker in accordance with the provisions of Paragraph 3(b) hereof; provided, however, that such Conversion must be effected by the holder on or prior to 36 months from the date hereof (the "Conversion Period").
