Common Unit Offering definition

Common Unit Offering has the meaning set forth in the recitals of this Agreement.

Examples of Common Unit Offering in a sentence

  • Notwithstanding anything to the contrary in this Agreement, the Common Unit Offering Price and the Common Unit Signing Price, as applicable and without duplication, shall be proportionately adjusted pursuant to the terms of Section 5.11(b)(vi)(E) of the Second A&R LPA to account for any distributions or other transactions described in subclauses (i) through (viii) therein that occurred between the date of this Agreement and the Closing Date as if such section were in effect during such period.

  • Spectra MLP shall prepay the CapEx Debt in full upon the earlier to occur of (a) March 31, 2011 and (b) the consummation of a Common Unit Offering.

  • RRMH shall contribute the Subject Interest to the Partnership (a portion of the Subject Interest equal to 2/98ths of the aggregate value of the Common Units issued in the Partnership Common Unit Offering and the Additional LP Units being conveyed on behalf of the General Partner).

Related to Common Unit Offering

  • Public Offering Price means the price per Share of the Fund at which NLD or selected dealers or selected agents may sell Shares to the public or to those persons eligible to invest in Shares as described in the Prospectus of the Funds, determined in accordance with such Prospectus under the Securities Act relating to such Shares.

  • Common Units is defined in the Partnership Agreement.

  • Limited Offering means an offering that is exempt from registration under the 1933 Act pursuant to Section 4(2) or Section 4(6) thereof or pursuant to Rule 504, Rule 505, or Rule 506 thereunder.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Piggyback Offering has the meaning set forth in Section 7(a).
