During the term of this Agreement, RAM employees that are assigned to develop the Application Software shall not perform services or provide material or information, directly or indirectly, to, for, or in support of any Competitor of FLO in connection with a Competitive Project that is substantially similar in form, function, substance, purpose or intent, as performed or provided for in this Agreement.
Upon Manager’s or a Member’s receipt of a Proposal Package from a Submitting Party (such Person, the “Receiving Party”), the Receiving Party shall have 15 business days (the “Pursuit Response Period”) by delivering written notice (a “Pursuit Notice”) to the Submitting Party to approve or disapprove the Proposed Project or the Proposed Competitive Project.
Notwithstanding anything to the contrary contained herein, Builder may enter into a Term Sheet or a Purchase Agreement with respect to a Proposed Project or a Proposed Competitive Project prior to submitting a Proposal Package for such Proposed Project or such Proposed Competitive Project to the Company.
A Proposal Package for a Proposed Project or a Proposed Competitive Project may be submitted by Manager or a Member (such Person, the “Submitting Party”) at any time prior to closing on such Proposed Project or such Proposed Competitive Project; provided, however, that a Submitting Party shall endeavor to present such Proposal Package to the Company not later than 60 days prior to the scheduled closing for such Proposed Project or such Proposed Competitive Project.
During the term of this Agreement, Selectica employees that are assigned to develop the BMW Application shall not agree to perform services or provide material or information, directly or indirectly, to for or in support of any Competitor of BMW in connection with a Competitive Project that is substantially similar in form, substance, purpose or intent as performed or provided under this Agreement.
For purposes of this Section, "Competitor" is defined as any manufacturer or distributor of automobiles, motorcycles, or recreational vehicles and "Competitive Project" is defined as any task or work effort whose intent or result is or will be substantially similar to any contemplated by this Agreement.
The DISTRICT sought Fiscal Year (FY) 2021 Clean Water Fund (CWF) Competitive Projects and Practices grant funds from BWSR for the Little Comfort Lake Phosphorus Reduction Implementation project, which includes the East Wetland Impoundment Construction, School Lake Outlet Channel Improvements, and Alum Treatment of Little Comfort Lake, as described in the DISTRICT’s FY2021 CWF Competitive Project and Practices grant application attached hereto as Exhibit A.
If (A) Builder or its Affiliate identifies a Proposed Project or a Proposed Competitive Project, and (B) TMHC or a TMHC Subsidiary intends to acquire and develop such Proposed Project or such Proposed Competitive Project during the Investment Period, then Builder shall first offer the Company an opportunity to invest in such Proposed Project or such Proposed Competitive Project; except that, notwithstanding the foregoing, Builder shall not be required to offer Excluded Opportunities to the Company.
During the term of this Agreement, BH employees that are assigned to develop the Application Software shall not perform services or provide material or information, directly or indirectly, to, for, or in support of any Competitor of LGI in connection with a Competitive Project that is substantially similar in form, function, substance, purpose or intent, as performed or provided for in this Agreement.
During the term of this Agreement, XYZ employees that are assigned to develop the YYY Application shall not agree to perform services or provide material or information, directly or indirectly, to for or in support of any Competitor of YYY in connection with a Competitive Project that is substantially similar in form, substance, purpose or intent as performed or provided under this Agreement.
