Contents of Notice. The notice to Shareholders shall specify the place, date and time of the meeting. Every notice convening a meeting of the Shareholders shall set forth in full and sufficient detail the business to be transacted thereat, and no business shall be transacted at such meeting unless the same has been stated in the notice convening the meeting. The draft resolutions to be considered at the Shareholders meetings must be furnished to all the Shareholders at least 21 (twenty one) days prior to the date of the proposed Shareholders meeting, except with the written consent of the Investor.

Contents of Notice. Any notice given pursuant to Section 17.01 shall specify or include the following, as applicable: (a) identity of the proposed transferee and its relation, if any, to Cogenerator; (b) description of the proposed transfer as including or not the Plant, the Cogenerator Substation, or Cogenerator Interconnection Facilities or; (c) purchase price or other considerations for such transfer; (d) contracts or agreements to be assumed on any transfer including, without limitation, contracts for fuel and contracts with respect to credits to Cogenerator or its successors for power and energy delivered under this Agreement.
