To resolve any dispute related to any Contested Amount, the Parties will resolve such dispute following the dispute resolution procedures set forth in Article 26.
If any controversy arises involving any party to this Agreement (other than the Escrow Agent) concerning the subject matter of this Agreement, including a Contested Amount, the Escrow Agent will not be required to determine the controversy or to take any action until such dispute has been resolved.
The arbitrators' decision shall relate solely to whether the Indemnified Party is entitled to receive the Contested Amount (or a portion thereof) pursuant to the applicable terms of the Merger Agreement and this Agreement.
The cost of each arbitration proceeding, including without limitation the arbitrators' compensation and expenses, hearing room charges, court reporter transcript charges, etc., shall be allocated among the parties based upon the percentage which the portion of the Contested Amount not awarded to each party bears to the amount actually contested by such party.
The Contested Amount shall be settled in accordance with the Expedited Procedures of the Commercial Arbitration Rules of the American Arbitration Association.
