Where the Contract is terminated under clause 42 (Termination for Contractor Default), no further sums shall be payable by the Authority or any Authorised User to the Contractor for Products and Services supplied by the Contractor prior to termination and in accordance with the Contract (where the payment has yet to be made by the Authority or the relevant Authorised User), until the Authority has established the final cost of making the other arrangements envisaged under this clause.
For the avoidance of doubt, if the Intervention Cause is also an event or occurrence which provides the Authority with a right to terminate under clause 42 (Termination for Contractor Default), the Authority has no obligation to exercise its rights under this clause 40.1 prior to or instead of exercising its right to terminate the Contract.
