(i) no Material Contract has been breached in any respect or canceled by the other party that has not been duly cured or reinstated, (ii) the Company has performed all of its obligations required to be performed by it under such Material Contracts and the Company is not in receipt of any written claim of default under any such Material Contract, (iii) no event has occurred which with the passage of time or the giving of notice or both would result in a breach or default under any such Material Contract and (iv) the Company is not a party to any contract(s), agreement(s) or arrangement(s) which, individually or in the aggregate, could have a Material Adverse Effect. Each Material Contract is in full force and effect and is valid, binding and enforceable in accordance with its terms. Buyer has been supplied with a true and correct copy of all written Material Contracts requested by Buyer, together with all amendments, waivers or other changes thereto.

Contracts Schedule has the meaning set forth in Section 5.8(a)(i).

Contracts Schedule shall have the meaning specified in Section 3.18 of this Agreement.
