Controlling Entities definition

Controlling Entities means Alan A. Ades, Albert Erani and Glenn H. Nussdorf, members of the Organogenesis board of directors, together with Dennis Erani, Starr Wisdom and certain of their respective affiliates.
Controlling Entities means the Members and their respective Affiliates (other than the Company, the Partnership Group, SXE GP and the SXE Group).
Controlling Entities means the Members and their respective Affiliates (other than the Company, the General Partner and the Partnership Group).

  • During the Applicable Period, such Stockholder (and/or its Controlling Entities) shall retain at all times the right to vote all of its Subject Shares in such Stockholder’s sole discretion and without any other limitation on those matters other than those set forth in this Section 3(a) that are at any time or from time to time presented for consideration to the Company’s stockholders generally.

  • The Company shall (i) conduct its business in its own name, (ii) use its separate stationery, invoices, and checks, (iii) correct any known misunderstanding regarding its separate identity from that of any other Person (including the Controlling Entities), and (iv) generally hold itself out as an entity separate from any other Person (including the Controlling Entities).

  • Failure by the Company to comply with any of the obligations set forth above shall not affect the status of the Company as a separate legal entity, with its separate assets and separate liabilities or restrict or limit the Company from engaging or contracting with any of the Controlling Entities for the provision of services or the purchase or sale of products.

  • The Company shall conduct its business and operations separate and apart from those of any other Person (including the Controlling Entities) in accordance with this Section 2.7.

  • The Subadviser will promptly notify MML Advisers of any changes in its Controlling Entities or in the key personnel who are either the portfolio manager(s) responsible for the Portfolio or the Subadviser’s Chief Executive Officer or President, or if there is otherwise an actual or expected change in control or management of the Subadviser.

  • The Company shall conduct its business and operations separate and apart from those of any other Person (including the Controlling Entities) in accordance with this Section 2.07.

  • The Controlling Entities jointly and severally hereby agree to and do hereby indemnify and hold harmless Holder against any brokerage commissions or finder’s fee claim or which may be claimed by any broker or other Person in connection with the transactions contemplated hereby.

More Definitions of Controlling Entities

Controlling Entities means Continental Towers Associates II, LLC, CTA General Partner, L.L.C., CTA Member, Inc., and ▇▇▇▇▇, collectively; and “Controlling Entity” shall mean generally one of such Persons.

Controlling Entities has the meaning set forth in the Preamble to this Agreement.

Related to Controlling Entities

  • Controlling Entity means an entity which owns, directly or indirectly through one or more intermediaries, (i) a general partnership interest or a Controlling Interest of the limited partnership interests in Borrower (if Borrower is a partnership or joint venture), (ii) a manager's interest in Borrower or a Controlling Interest of the ownership or membership interests in Borrower (if Borrower is a limited liability company), (iii) a Controlling Interest of any class of voting stock of Borrower (if Borrower is a corporation), (iv) a trustee's interest or a Controlling Interest of the beneficial interests in Borrower (if Borrower is a trust), or (v) a managing partner's interest or a Controlling Interest of the partnership interests in Borrower (if Borrower is a limited liability partnership).

  • Selling Entity means Parent, any Assignee, and each of their controlled Affiliates, licensees and sublicensees.

  • Controlling Affiliate means an Affiliate that directly or indirectly Controls the Hotel and/or Controls the entity that Controls the Hotel.

  • Managing entity means the managing agent or, if there is no managing agent, the time-share

  • Holding Entities means the subsidiaries of Brookfield Renewable Energy L.P., from time to time, through which it indirectly holds all of the Partnership’s interests in the Operating Entities.
