The Company and each Holder or beneficial owner of a Security acknowledge that, following the receipt of a Going Concern Write-Down Notice by DTC setting forth that the Current Principal Amount of any series of Securities will be reduced to one cent per $1,000 in Original Principal Amount and the commencement of the Suspension Period, DTC will suspend all clearance and settlement of any series of Securities through DTC for the duration of the Suspension Period.
If one or more Capital Ratio Event(s) occur during an interest period, the Securities shall, for the entirety of such interest period, bear interest based on the Current Principal Amount of the Securities on the immediately following interest payment date, after giving effect to the Going Concern Write-Down(s) as if the Going Concern Write-Down(s) resulting from such Capital Ratio Event(s) had occurred on the first day of such interest period.
