Data Migration definition

Data Migration means, in relation to the SME Business (to the extent it does not relate to Complex SME Customers) and the Retail Business, the processes and procedures to be carried out by the relevant Business Seller and the Purchaser to migrate the Business Data in relation to the SME Business (to the extent it does not relate to Complex SME Customers) and the Retail Business from the systems of that Business Seller to the systems of the Purchaser at the NatWest Closing in respect of the NatWest Businesses and the RBS Closing in respect of the RBS Businesses;

Data Migration includes one migration of the following elements from one database before go live: facility, provider, insurance master, referring providers, staff, patient demographics, guarantor, patient insurances, appointments, scanned documents, allergies, current medication, current problem list, immunization, diagnosis/assessment, lab (up to 500,000 records), family history, past medical history, social history and surgical history. Customer is responsible for providing the data in .CSV format. eClinicalWorks will assist in the process if required.

Data Migration means, if applicable, the process of transferring data specified by the Customer between its source (e.g. data storage systems, data formats or computer systems) and destination, as further may be stipulated, if applicable, in an applicable Statement of Work;

Data Migration means the process of selecting, preparing, extracting, and transforming data and permanently transferring it from one computer storage system, i.e., the County’s current ACS, to another, i.e., the ACS to be provided by Contractor herein referred to as CountySuite Sheriff.

Data Migration shall have the meaning set forth in Section 1.15. “Day-One Plan” shall have the meaning set forth in Section 1.15. “Day-One Readiness” shall have the meaning set forth in Section 1.15. “Delta” shall have the meaning set forth in the Merger Agreement. “Distribution” shall have the meaning set forth in Section 2.1(a). “Distribution Date” means the date, as shall be determined by the Remainco Board (or its designee), on which the Distribution shall occur. “Distribution Effective Time” means the time the Distribution occurs on the Distribution Date. “Eligible Insurance Proceeds” shall have the meaning set forth in Section 3.7(d). “Employee Matters Agreement” means the Employee Matters Agreement, dated as of the date hereof, by and among Remainco, Spinco and Merger Partner and attached hereto as Exhibit B. “Encumbrance” means any lien, pledge, hypothecation, charge, mortgage, deed of trust, easement, encroachment, imperfection of title, title exception, title defect, right of possession, lease, tenancy license, security interest, encumbrance, claim, infringement, interference, option, right of first refusal, preemptive right, community property interest or restriction of any nature (including any restriction on the voting of any security, any restriction on the transfer of any security or other asset, any restriction on the receipt of any income derived from any asset, any restriction on the use of any asset and any restriction on the possession, exercise or transfer of any other attribute of ownership of any asset). “Entity” means any corporation (including any non-profit corporation), general partnership, limited partnership, limited liability partnership, joint venture, estate, trust, company (including any company limited by shares, limited liability company or joint stock company), firm, society or other enterprise, association, organization or entity. “Environmental Law” shall have the meaning set forth in the Merger Agreement. “Environmental Permit” shall have the meaning set forth in the Merger Agreement. “Equity Interests” means, with respect to any Person, (a) any capital stock, voting securities, limited liability company interests, partnership units or other equity of such Person, (b)

Data Migration means a complete and faultless migration of data from the Customer's existing Systems to the System.

Data Migration means migration of Existing Data as part of Implementation Services, as further specified in Section 1.4 (Definitions) of Exhibit A (Statement of Work).

Data Migration has the meaning given to it in Clause 15.1;
