No Special Warrants may be voluntarily exercised by the holders thereof at any time after their issuance, unless agreed to by the Corporation pursuant to a supplemental indenture entered into with the Special Warrant Agent providing for such exercise and subject to any certificates issued prior to the Deemed Exercise Date bearing the legends set out in Section 5.8.
The date on which the Warrant shall be deemed to have been exercised, and the date the person in whose name any certificate evidencing the Common Stock issued upon the exercise hereof is issued shall be deemed to have become the holder of record of such shares, shall be the Deemed Exercise Date, irrespective of the date of delivery of a certificate or certificates evidencing the Common Stock issued upon the exercise or conversion hereof.
On the Deemed Exercise Date, all the Warrants will be canceled and will represent only a right to receive the Cash Settlement Value upon satisfaction of the requirements set forth in Section 2.03(b).
The Valuation Date for such Warrants shall be the first Index Country Business Day next succeeding such Deemed Exercise Date.
The Corporation will record particulars of each Special Warrant exercised or deemed to have been exercised which will include the name and address of each person to whom Common Shares are thereby issued, the number of Common Shares so issued and the Exercise Date or Deemed Exercise Date in respect thereof.
