Deeply Subordinated Notes definition

Deeply Subordinated Notes means either (i) ZIC Deeply Subordinated Notes or (ii) Guaranteed Deeply Subordinated Notes.
Deeply Subordinated Notes means any bonds or notes of the Issuer which constitute direct, unconditional, unsecured and lowest ranking subordinated obligations (titres subordonnés de dernier rang) of the Issuer and which rank and will rank pari passu among themselves and pari passu with all other present and future Deeply Subordinated Obligations, but junior to the titres participatifs issued by, and prêts participatifs granted to, the Issuer, and junior to the Ordinary Subordinated Obligations and Unsubordinated Obligations of the Issuer.
Deeply Subordinated Notes means Notes issued by ZIC under the Programme pursuant to the Terms and Conditions of the Subordinated Notes and Deeply Subordinated Notes, which rank as set out in Condition 3(b) of the Terms and Conditions of the Subordinated Notes and Deeply Subordinated Notes, as specified in the applicable Pricing Supplement.

  • For the purpose of any payments made in respect of this Temporary Global Note, the words “in the relevant place of presentation” shall not apply in the definition of “business day” in Condition 6(g) of the Terms and Conditions of the Senior Notes in the case of Senior Notes or Condition 6.4 of the Terms and Conditions of the Deeply Subordinated Notes in the case of Deeply Subordinated Notes.

  • The Terms and Conditions of the Undated Deeply Subordinated Notes do not provide for events of default allowing acceleration of the Undated Deeply Subordinated Notes if certain events occur and the holders of Undated Deeply Subordinated Notes will not be entitled to initiate insolvency proceedings against BESI for failure of any payment under the Undated Deeply Subordinated Notes.

  • As part of the repurchases, the Company has undertaken to cancel the Deeply Subordinated Notes repurchases on the date of the repurchases and not to reissue or resell them.

  • The holders of Undated Deeply Subordinated Notes have no right to require redemption of the Undated Deeply Subordinated Notes, except if a judgment is issued for the insolvent judicial liquidation of BESI or if BESI is wound up for any other reason.

  • It is possible that in certain circumstances, external authorities may require BESI to suspend payments of interest in circumstances which are not covered by the Terms and Conditions of the Undated Deeply Subordinated Notes.

  • Accordingly, in certain circumstances and/or upon the occurrence of certain events, payments of interest under the Undated Deeply Subordinated Notes may be restricted and, in certain cases, forfeited and the amount of interest and the principal amount of the Undated Deeply Subordinated Notes may be reduced.

Deeply Subordinated Notes means all or any bonds or notes of the Issuer which constitute direct, unconditional, unsecured and lowest ranking subordinated obligations (titres subordonnés de dernier rang) of the Issuer, including bonds or notes issued pursuant to the provisions of Article L.228-97 of the French Code de commerce, as amended by law no. 2003- 706 on financial security dated 1August 2003 or other debt instruments issued by the Issuer treated as consolidated fonds propres de base for the Issuer and which rank and will rank pari passu among themselves and pari passu with all other present and future Deeply Subordinated Notes, behind any present and future titres participatifs issued by, and prêts participatifs granted to, the Issuer, any Ordinary Subordinated Obligations of the Issuer and any Unsubordinated Obligations of the Issuer, but in priority to any class of share capital or other equity securities issued by the Issuer.

  • Existing Subordinated Notes means any instrument or loan issued or incurred before 1 January 2013, whether publicly or privately placed, ranking or expressed to be ranking pari passu with all other subordinated obligations (except for those subordinated obligations expressed by their terms to rank junior), provided that should any such Existing Subordinated Notes be amended in any way (contractually or by statute) which would result in allowing the Issuer to issue subordinated notes ranking senior thereto, then such Subordinated Notes would be deemed to no longer constitute an Existing Subordinated Note.
