Defect Notice Date definition

Defect Notice Date has the meaning specified in Section 2.1.

Upon timely delivery of a Defect Notice under this Section 2.1, the Buyer and the Seller will in good faith negotiate the validity of the claim and the amount of any adjustment to the Purchase Price using the following criteria:
