Notwithstanding the foregoing or any other provision in this Agreement to the contrary, on the date of this Agreement, the Borrower will prepay in full the Delayed Draw Term Notes maturing on the Delayed Draw Term Notes First Maturity Date with a portion of the proceeds of the Third A&R Notes.
