Derivative Content definition

Derivative Content means content based on the System Content, including modifications, improvements, enhancements or additions to the System Content provided by Customer, and including all adaptations as defined under the Copyright Designs and Patents Act, whether or not subject to copyright protection, but does not include any portion of the System Content incorporated or embedded in such Derivative Content.
Derivative Content means any tools, information, insights, analysis or information generated by Customer through its manipulation, aggregation or other use of the Data, whether alone or in conjunction with other information, provided that such Derivative Content could not be used as a substitute for Vendor’s products or services.
Derivative Content means the Licensed Content as modified, ------------------ translated into a language other than English, or enhanced by or on behalf of StarMedia in accordance with the terms of this Amended and Restated Agreement.

  • Upon any termination or expiration of this Agreement, Equifax shall promptly return all Intersections Content (including the Intersections Derivative Content) to Equifax and erase and remove all copies of all Intersections Content (including the Intersections Derivative Content) from any computer equipment and media in Equifax's or its agents possession, custody or control.

  • Intersections retains all right, title and interest (including copyright and other proprietary or intellectual property rights) in the Intersections Content and all legally protectable elements, derivative works, modifications and enhancements relative to the Intersections Content (the "Intersections Derivative Content").

  • As between Customer and Provider, all System Content and Derivative Content, including all database, copyright, derivative works and other intellectual property rights in such System Content and Derivative Content, shall be the property of Provider.

  • Customer acknowledges that System Content and Derivative Content is proprietary to Provider, and Customer agrees not to use or disclose it except as expressly permitted in this Agreement.

  • Customer is permitted to use the System Content and Derivative Content for Customer’s own internal business purposes in accordance with this Agreement and the License.

  • To the extent that ownership of the Intersections Content does not automatically vest in Intersections by virtue of this Agreement or otherwise, Equifax agrees to transfer and assign to Equifax all right, title and interest in the Intersections Content and Intersections Derivative Content.

  • Customer shall have the right to create Derivative Content from the Data in the ordinary course of business, which shall be owned exclusively by Customer without restriction.

  • If GiveGab produces Derivative Content from your Original Content you are granted a non-exclusive, worldwide, royalty-free, sublicensable and transferable right and license to use, reproduce, create derivative works of, distribute, publicly perform and publicly display your Derivative Content outside of the GiveGab Service as long as you are an active Customer of GiveGab or if you receive written approval from GiveGab.

  • Derivative Contract means (a) any and all rate swap transactions, basis swaps, credit derivative transactions, forward rate transactions, commodity swaps, commodity options, forward commodity contracts, equity or equity index swaps or options, bond or bond price or bond index swaps or options or forward bond or forward bond price or forward bond index transactions, repurchase transactions, interest rate options, forward foreign exchange transactions, cap transactions, floor transactions, collar transactions, currency swap transactions, cross-currency rate swap transactions, currency options, spot contracts, or any other similar transactions or any combination of any of the foregoing (including any options to enter into any of the foregoing), whether or not any such transaction is governed by or subject to any master agreement, and (b) any and all transactions of any kind, and the related confirmations, which are subject to the terms and conditions of, or governed by, any form of master agreement published by the International Swaps and Derivatives Association, Inc., any International Foreign Exchange Master Agreement, or any other master agreement, including any such obligations or liabilities under any such master agreement.

  • Derivative Product means a written contract or agreement between the Authority and a Reciprocal Payor, which provides that the Authority’s obligations thereunder will be conditioned on the absence of (a) a failure by the Reciprocal Payor to make any payment required thereunder when due and payable, or (b) a default thereunder with respect to the financial status of the Reciprocal Payor; and:

  • Derivative Work means a work that is based on one or more preexisting works (such as a revision, translation, dramatization, motion picture version, abridgment, condensation, enhancement, modification, or any other form in which preexisting work may be recast, transformed, or adapted) which, if created without the authorization of the copyright owner of the preexisting work, would constitute copyright infringement.

  • Embedded means the placement of transmission or distribution lines, pipes or cables into the bottom of surface waters by minimal displacement of bottom material and without the creation of a trench, or trough, through the use of techniques such as plowing-in, weighing-in, or non-trenching jets.

  • Derivative Works means any work, whether in Source or Object form, that is based on (or derived from) the Work and for which the editorial revisions, annotations, elaborations, or other modifications represent, as a whole, an original work of authorship. For the purposes of this License, Derivative Works shall not include works that remain separable from, or merely link (or bind by name) to the interfaces of, the Work and Derivative Works thereof.
