Design Element definition

Design Element means a part of a Design.
Design Element means the style, design, size, shape, color, trade dress, appearance, characters, character names and likenesses, weapons, armors, vehicles, music, sounds, sound effect, audio-visual elements and comparable aesthetic features in the Game. Licensee hereby irrevocable assigns, transfers and conveys to Proxima all of Licensee’s right, title and interest throughout the universe in perpetuity in all Design Elements, Localization Materials and Marketing Materials and any derivative works of the foregoing. Licensee acknowledges and agrees that the obtaining of such assignment forthwith is an essential term of this Agreement. The use by Licensee of any of the foregoing Intellectual Property Rights is authorized only for the purposes and under the terms herein set forth and, upon expiration or termination of this Agreement for any reason, except as expressly provided otherwise in this Agreement, such authorization will immediately cease. Licensee will ensure that no person other than Proxima or its designees will be permitted to remove any hardware or component thereof containing any Proxima Property without Proxima first receiving written notice and reasonable time to have such elements removed from such hardware or component thereof.
Design Element means the particular element of the Design as referred to in paragraph 6.1 of Part 3 of [Clause 5Schedule A] (Review and Certification Procedure).

Examples of Design Element in a sentence

  • For Distributable Components supplied by Xilinx in Modifiable Form, Licensee may modify such Distributable Components, provided that such modifications are limited to enabling such Distributable Components to, in the case of a Core or Design Element, program only a Xilinx Device, and in the case of a Driver, enable only a Xilinx Device to interoperate with other independent software programs such as an operating system.

  • Licensee may distribute Distributable Components (including when modified per Section 3(a)(3)B (Modification Rights) above), provided that either (a) such Distributable Components have been converted into a machine executable form, such as in the case of a Core or Design Element, a Bitstream, and in the case of a Driver, in compiled object code form; or (b) the recipient thereof has a valid license from Xilinx to use the same Software.

  • Distributable Components may be supplied by Xilinx in either (y) source code form, such as a Core or Design Element provided in VHDL or Verilog form or a Driver provided in C language source form (hereafter "Modifiable Form"), or (z) a format other than source code, such as a Core or Design Element provided in netlist form or encrypted netlist form or a Driver provided in complied object code form (hereafter "Restricted Form").

  • The Redeveloper shall make good faith efforts to include and incorporate certain “green” or sustainable design elements, consistent with any objective standards set forth in the Sustainable Design Element of the Borough Master Plan, as adopted by the Borough Planning Board in June, 2011, where in Redeveloper’s sole opinion it is cost-effective and economically feasible.

  • For purposes of clarification, as between Company and QVC, Company shall be responsible for oversight with respect to the quality of the incorporation of the Design Element into the Co-Branded Products and the use of the Co-Branded IP Rights in connection with the manufacture thereof.

  • In the event of any Third Party Claim alleging infringement or violation by CLIENT of the design-related intellectual property rights of that third party based on any Basic Design provided by DESIGNER hereunder (a “Challenged Design Element”), CLIENT may upon written notice to DESIGNER pay any Royalties otherwise due DESIGNER with respect to Products containing the Challenged Design Element into an interest-bearing escrow account pending the outcome of such Third Party Claim.

  • For purposes of clarification, the indemnification obligations of Company with respect to the Product IP Rights, the Design Element or the Co-Branded IP Rights shall not apply with respect to any component (e.g., a trademark or service m▇▇▇) of the Products or Co-Branded Products which is owned or licensed by QVC, if any.

  • No change will be made by StadCo to the NSP Budget if such change will result in a change to a Material Design Element that has been previously agreed to by the GWCCA pursuant to Section 4.3 above, unless approved by the GWCCA.

  • Design-build means the procurement of design professional services and construction by the use of a single contract.
