The Company shall, in all material respects, comply with applicable securities and other laws, rules and regulations in each jurisdiction in which the Directed Shares are offered in connection with the Directed Share Program.
The Public Shares to be sold pursuant to the Directed Share Program, at the direction of the Company, are referred to hereinafter as the “Directed Shares.” Any Directed Shares not orally confirmed for purchase by any Participant by 11:59 p.m. New York City time on the date on which this Agreement is executed will be offered to the public by the Underwriters as set forth in the Prospectus.
The Company has specifically directed in writing the allocation of Public Shares to each Participant in the Directed Share Program, and neither Fidelity nor any other Underwriter has had any involvement or influence, directly or indirectly, in such allocation decision.
The Registration Statement, the Pricing Disclosure Package, the Prospectus and any preliminary prospectus comply, and any amendments or supplements thereto will comply, with any applicable laws or regulations of non-U.S. jurisdictions in which the Pricing Disclosure Package, the Prospectus or any preliminary prospectus, as amended or supplemented, if applicable, are distributed in connection with the Directed Share Program.
