Disputed Calculation definition

Disputed Calculation shall have the meaning set forth in Section 1.7(c).
Disputed Calculation and “Disputed Calculations” shall have the meaning set forth in Section 15.1.
Disputed Calculation has the meaning set forth in Section 2.5(c)(iii).

Examples of Disputed Calculation in a sentence

  • If such Reference Bank or Reference Dealer determines that no quotations are available for a particular Disputed Calculation, then the Calculation Agent's original calculations will be used for that Disputed Calculation.

  • With respect to each Disputed Calculation, the Determined Values shall be binding on the parties hereto.

  • Each party shall bear its own costs and expenses in connection with the resolution of such Disputed Calculation Items by the Independent Accountant.

  • Buyer and Seller shall, promptly (but in any event within ten (10) Business Days) following the formal engagement of the Financial Expert, provide the Financial Expert (copying the other upon submission) with a written presentation setting forth its calculations of and assertions regarding the Disputed Calculation and shall allow the Financial Expert to conduct an independent analysis and audit of the Disputed Calculation using the Accounting Principles and the Sample Working Capital Schedule.

  • If Purchaser and the Seller Representative are unable to resolve any Disputed Calculation Item within such thirty (30) day period, Purchaser and the Seller Representative shall mutually engage and submit such Disputed Calculation Item to, and the same shall be finally resolved in accordance with the provisions of this Agreement to the Independent Accountant.

  • Nothing herein shall be construed to authorize or permit the Settlement Arbitrator to resolve any specific item in dispute by making an adjustment that is outside the range for such specific item as defined in the Initial Calculation and the Disputed Calculation.

  • In resolving any Disputed Calculation Item, the Independent Accountant may not assign a value to any item greater than the greatest value for such item claimed by either party or less than the least value for such item claimed by either party in the Calculation Statement or Calculation Dispute Notice.

  • If the Seller Representative delivers a Calculation Dispute Notice to Purchaser, Purchaser and the Seller Representative shall attempt to resolve the Disputed Calculation Items within thirty (30) days following the date of delivery of the Calculation Dispute Notice.

Related to Disputed Calculation

  • Disputed Amount means an amount which Customer disputes. A Disputed Amount may relate to the whole or part of an invoice(s).

  • Estimated Adjustment Amount has the meaning set forth in Section 2.8(a).

  • The calculation date means the first day on which purchasers of ordinary shares of the Company shall not be granted the rights to subscribe for such new securities which confer the right to convert/exchange into the ordinary shares or the right to purchase the ordinary shares in case of a rights offering and/or the first day of the offering of securities which confer the right to convert/exchange into the ordinary shares or the right to purchase of the ordinary shares in case of a public offering or a private placement (as the case may be).

  • Disputed Amounts as used in Section 11.9 below, means the amount that the Disputing Party contends is incorrectly billed.

  • Disputed means, with respect to any Claim or Interest, any Claim or Interest that is not yet Allowed.
