The Partners agree to dissolve the Partnership effective (the "Dissolution Date").
As used in this Section 5 of Article VIII, an “Eligible Tender Offer” is defined as a tender offer by the Trust to purchase 100% of the then Outstanding Shares of the Trust at a price equal to the net asset value per Share on the expiration date of the tender offer, which shall be as of a date within twelve months preceding the Dissolution Date.
The Extended Dissolution Date may similarly be extended one or more times by a majority of the Trustees with the approval by a Majority Shareholder Vote.
In such event, not later than thirty days prior to the Initial Dissolution Date, the Managing Member shall notify all other Members that the initial term of the LLC will be extended and the date, not later than ten years after the Initial Dissolution Date, of the extended dissolution date (the “Extended Dissolution Date”).
