Divested Entity definition

Divested Entity has the meaning set forth in Section 8.02.
Divested Entity means a Group Company (as of the time immediately prior to the relevant divestment), business, product line, division, or organization that a Party or any of its Group Companies sells or transfers to another Person or otherwise divests.
Divested Entity means any (a) company which at any time is an Affiliate of the Customer, and which ceases to be an Affiliate of the Customer, or (b) business or undertaking which at any time is owned by the Customer, and which ceases to be owned by the Customer.

Divested Entity means, for any date of determination, for the Measurement Period most recently ended, any Person (or division or similar business unit) disposed of by the Borrower or any Subsidiary during such Measurement Period if, as of the last day of the fiscal quarter immediately preceding such disposition, the contribution to EBITDA of such Person (or division or similar business unit) accounted for 5% or more of Consolidated EBITDA for the 12 months preceding such last day.

Divested Entity means any Affiliate, department or division of Licensee that loses its status as such whether as a result of an asset sale, stock sale, merger, spin-off or other disposition (of either Licensee or Affiliate) to a third party.
Divested Entity means any subsidiary, Affiliate, division, department or line of business of Aetna or of an Affiliate that loses its relationship with Aetna as a result of divestiture or otherwise.
