Upon delivery to Purchaser at the Closing of the Bills of Sale, Domain Name Assignment Agreement, Patent Assignment Agreement, and the Assignment and Assumption Agreements, Seller will thereby sell, transfer, convey and assign to Purchaser good and marketable title to the Purchased Assets, free and clear of all Encumbrances other than Permitted Encumbrances, subject to the terms and conditions of this Agreement.

Delivery of an executed counterpart of a signature page of this Domain Name Assignment by facsimile or other electronic transmission shall be effective as delivery of a manually executed original counterpart of this Domain Name Assignment.
The Seller shall have executed and delivered a Patent Assignment, substantially in the form set forth in Exhibit I, a Trademark Assignment, substantially in the form set forth in Exhibit E, and a Domain Name Assignment, substantially in the form set forth in Exhibit F.
