Draft Completion Balance Sheet definition

Draft Completion Balance Sheet has the meaning given in clause 8.2.

  • Each Draft Completion Balance Sheet shall include a draft statement of Net Working Capital for the company to which such Completion Balance Sheet relates.

  • The Draft Completion Balance Sheet for SCCL shall specify the Purchaser’s calculation of the SCCL Intergroup Debt.

  • If, by the expiry of such 60-day period, no such notice is received by either the Seller or either Party has notified the other Party that there are no items it wishes to dispute, the Draft Completion Balance Sheet shall constitute the Completion Balance Sheet for the purposes of this Agreement.

  • The Purchaser shall instruct a firm of independent accountants of international repute to review the draft Completion Balance Sheet and then issue a certificate with the Draft Completion Balance Sheet and Draft Statement of EBITDA confirming that the Draft Completion Balance Sheet and the Draft Statement of EBITDA has been prepared substantially in accordance with the Accounting Principles.

  • The Draft Completion Balance Sheet, adjusted to reflect the item or items as agreed between the Seller and the Purchaser in writing in accordance with paragraph 1.3 of Part A of this Schedule or as determined by the Accountants appointed under this schedule, shall constitute the Completion Balance Sheet for the purposes of this Agreement.
