Pursuant to the terms of the Escrow Agreement, the Escrow Agent shall hold such Escrow Shares until the earlier of (i) the Escrow Expiration Date and (ii) the date upon which the last Aggregate Escrow Distribution is distributed to KH Partners, the FRF or their permitted assigns pursuant to Section 2.3(c).
In the event that any obligor fails to pay the Note in full within ten (10) days of the date of such notice, the Escrow Agent shall offset the amount of the Note (plus any interest or other amounts due thereunder) from the pro rata portion of the Aggregate Escrow Distribution otherwise due such obligor.
