Events Causing Dissolution. The Partnership shall be dissolved and its affairs wound up as soon as reasonably practicable upon the earliest to occur of: 11.1.1 The withdrawal of the General Partner, unless the Majority Limited Partners, within ninety (90) calendar days of the date of such event, elect to reconstitute the Partnership and continue its business and a successor General Partner is elected in accordance with SECTION 10.5 hereof; 11.1.2 The General Partner determines that the Partnership should be dissolved and so advises the Limited Partner in writing, and such determination is approved by the Limited Partners; 11.1.3 The receipt of the final sum due with respect to the sale or other disposition of all or substantially all of the assets of the Partnership; or 11.1.4 Entry of a decree of judicial dissolution under the Act.
