Exchanged Note definition

Exchanged Note shall have the meaning set forth in the Recitals to this Agreement.
Exchanged Note means a Note with terms and conditions identical to the terms and conditions of the Original Note for which it was exchanged, save that:
Exchanged Note in relation to a Note shall be such part of a Note to be calculated on the basis of the following formula: Exchanged Note = A x B where: A = percentage in post-IPO issued shares in AGL attributable to the Noteholder which are disposed of pursuant to Condition 7.1 (“Disposal”); B = the principal amount of the Note required for surrender and exchange for 1% of the post-IPO issued shares in AGL , which is dependent on the percentage of post-IPO issued shares in AGL held by the public shareholders as follows:

Examples of Exchanged Note in a sentence

  • As a result, except as provided in Section 5.02(D), any accrued and unpaid interest on an Exchanged Note will be deemed to be paid in full rather than cancelled, extinguished or forfeited.

  • Cascade Bancorp shall use commercially reasonable and good faith efforts in order to obtain Regulatory Approval [Primary Note] to utilize the Primary Note as the Exchanged Note.

  • The parties acknowledge and agree that the Exchanged Preferred Shares and the Exchanged Note shall be issued to the Holder in exchange for the Existing Securities without the payment of any additional consideration by the Holder.

  • Each of the Company and its Subsidiaries (as defined in the Exchanged Note) are entities duly organized and validly existing and in good standing under the laws of the jurisdiction in which they are formed, and have the requisite power and authorization to own their properties and to carry on their business as now being conducted and as presently proposed to be conducted.

  • Subject to the satisfaction (or waiver) of the conditions set forth in Sections 6 and 7 below, on the Closing Date (as defined below) the Holder shall, and the Company shall, pursuant to Section 3(a)(9) of the Securities Act, exchange the Existing Note for the Exchanged Note.


More Definitions of Exchanged Note

Exchanged Note shall have the meaning assigned to such term in subsection 17.11(a);
Exchanged Note means, with respect to a Convertible Debenture issued pursuant to the Exchange, the 2011 Note or Springing Lien Note that is exchanged for such Convertible Debenture pursuant to this Agreement.

Related to Exchanged Note

  • Exchanged Shares has the meaning ascribed thereto in Section 2.1.

  • Certificated Note means a Note in registered individual form without interest coupons.

  • Legended Note means Registered Notes in definitive form that are issued to Institutional Accredited Investors and Registered Notes (whether in definitive form or represented by a Registered Global Note) sold in private transactions to QIBs in accordance with the requirements of Rule 144A;

  • Note means a promissory note made by the Borrower in favor of a Lender evidencing Loans made by such Lender, substantially in the form of Exhibit C.

  • Restricted Certificated Note means a Certificated Note bearing the Private Placement Legend.
