Exercise Limitations definition

Exercise Limitations means any restrictions on the exercise of the warrants pursuant to the terms of this Agreement set forth in Section 4.3 and Section 4.9(a).

  • In order to facilitate compliance with the foregoing, each Holder will be required to make a representation that it and its affiliates will comply with the Exercise Limitations immediately after the exercise of any Warrant and receipt of any shares of Common Stock issuable upon such exercise.

  • In the event contractual lockups, the Exercise Limitations (as described in Section 4 herein), or applicable law or regulation restricts PEDEVCO’s ability to transfer and assign the Option Shares to GGE, the Call Date shall be extended to the such date as the transfer and assignment of the Option Shares may be consummated in accordance with such contractual lockups, applicable law or regulations.

  • Purchase Limit means $100,000,000, as such amount may be reduced pursuant to Section 2.01(b).
