Existing Swap definition

Existing Swap means (i) the ISDA Master Agreement, including the Schedule and related confirmation, each dated as of August 7, 2008, between the City and ▇▇▇▇▇▇▇ ▇▇▇▇▇ Financial Products, Inc. (as successor in interest to ▇▇▇▇▇▇ ▇▇▇▇▇▇ Financial Products, Inc. (“RJFP”), (ii) the Replacement Transaction Agreement, dated as of August 7, 2008, among the City, RJFP, and Deutsche Bank AG, New York Branch, and (iii) the Credit Support Annex, dated as of August 7, 2008, between the City and Deutsche Bank AG, New York Branch.]
Existing Swap means the swap transaction governed by that certain ISDA Schedule to the 2002 Master Agreement dated as of April 27, 2012, by and between Bank of America, N.A. and Borrower, as amended.
Existing Swap means the ISDA Master Agreement dated as of 6th February 1997 entered into between the Borrower and the Existing Swap Counterparty, together with the Schedule thereto and all confirmations to that Master Agreement;

Examples of Existing Swap in a sentence

  • Each Credit Party and each Lender agrees and acknowledges that (i) the Existing Swap Agreements are Swap Agreements permitted under this Section 7.05, (ii) as of the Effective Date, the counterparty to each Existing Swap Agreement is a Lender Counterparty, and (iii) the obligations of the Credit Parties under the Existing Swap Agreements are included in the defined term “Obligations” and such obligations are entitled to the benefits of, and are secured by the Liens granted under, the Security Instruments.

  • The Borrower will, and will cause each Restricted Subsidiary to, maintain the Existing Swap Agreements and none of the Existing Swap Agreements may be amended, modified or cancelled without the prior written consent of the Required Lenders.

  • The City has not entered into any Swap Contract relating to Indebtedness of the City payable from or secured by all or any portion of the Security (a) wherein any termination payment thereunder is senior to or on a parity with the payment of the Bonds or the other payment Obligations or (b) [other than Existing Swap,] which requires the City to post cash collateral to secure its obligations thereunder.

  • The Borrower has assumed all obligations under the Existing DIP Letters of Credit and Existing Swap Contracts and shall be considered substituted as account party or contracting party for all purposes in respect thereof.

  • Each Credit Party and each Lender agrees and acknowledges that the obligations of the Credit Parties under the Existing Swap Agreements are included in the defined term “Obligations” and such obligations are entitled to the benefits of, and are secured by the Liens granted under, the Security Instruments.

  • In connection with any such assignment or transfer of the First Priority Obligations, all Existing Swap Agreements shall be terminated unless all parties thereto shall have consented to the assignment thereof to the Second Priority Creditors and to the release of the lender counterparties thereto from all liability thereunder.

  • Time is of the essence as to each and every date and each and every Obligation of the Borrower set forth in this Amended and Restated Existing Swap Note.


More Definitions of Existing Swap

Existing Swap means ISDA Master Agreement entered into by Borrower with ▇▇▇▇▇ Fargo Bank, dated as of March 9, 2015, and the rate confirmation letter, dated March 9, 2015, referring to trade number 15552648.
Existing Swap means ISDA Master Agreement dated December 20, 2010, as amended by the Joinder and First Amendment to ISDA Master Agreement dated January 27, 2011, executed by Borrowers and Wells Fa▇▇▇ ▇ank, together with the ISDA schedule and any confirmation of transactions thereunder, as amended, modified or replaced from time to time.
Existing Swap has the meaning specified therefor in the recitals to the Agreement.
Existing Swap means swap arrangements to which an Existing Borrower is a party at the date of this Deed which are referred to in the Hedging Process Paper as the Existing Swaps;
Existing Swap means the interest rate swap transaction of the College with the Existing Swap Provider evidenced by the Master Agreement (including the Schedule thereto) dated as of July 21, 2023, as amended by the Amendment Agreement dated as of September 12, 2023 (including the Credit Support Annex thereto) and the two Amended and Restated Confirmations dated July 21, 2023, as amended and restated as of September 12, 2023 providing for interest rate exchange transactions with respect to the Series 2023 Bonds in the notional amounts of $96,157,000 and $16,748,000, respectively, as such Existing Swap may be amended and/or restated by the parties thereto, together with the third Amended and Restated Confirmation dated July 21, 2023, as amended and restated as of September 12, 2023, and as amended and restated by the two Amended and Restated Confirmations dated January , 2024, between the College and the Existing Swap Provider providing for interest rate exchange transactions in the aggregate notional amount of $43,225,000, which are hereby designated to be part of the Existing Swap.
Existing Swap means the Interest Rate and Currency Exchange Agreement dated as of July 13, 1990 between the Partnership and Paribas providing for an interest rate swap transaction the Confirmation for which is dated as of March 1, 1994.

Related to Existing Swap

  • Eligible Swap Counterparty means an entity, which may be an affiliate of a remarketing agent, engaged in the business of entering into derivative instrument contracts that satisfies the Rating Agency Condition.

  • Existing ship means a ship which is not a new ship.

  • Existing Contract means an unexpired Contract entered into by the Council and a Provider for works, services and/or goods.

  • Floating Swap Payment With respect to any Distribution Date, a floating amount equal to the product of (i) Swap LIBOR, (ii) the related Base Calculation Amount (as defined in the Interest Rate Swap Agreement), (iii) 250 and (iv) a fraction, the numerator of which is the actual number of days elapsed from and including the previous Floating Rate Payer Payment Date (as defined in the Interest Rate Swap Agreement) to but excluding the current Floating Rate Payer Payment (or, for the first Floating Rate Payer Payment Date, the actual number of days elapsed from the Closing Date to but excluding the first Floating Rate Payer Payment Date), and the denominator of which is 360.

  • Specified Swap Agreement means any Swap Agreement in respect of interest rates, currency exchange rates or commodity prices entered into by the Parent Borrower or any of the Subsidiary Borrowers and any Person that is a Lender or an affiliate of a Lender at the time such Swap Agreement is entered into.
