Final Closing Net Working Capital Shortage definition
Final Closing Net Working Capital Shortage means the amount, if any, by which the Final Closing Net Working Capital is less than the Target Net Working Capital.
Final Closing Net Working Capital Shortage means the amount, if any, by which the Final Closing Net Working Capital for each Specified Purchased Entity is less than the Estimated Closing Net Working Capital for each Specified Purchased Entity, which amount, if any, shall be payable by CEOC to Growth Partners in accordance with S ection 3.4(c).

Any such amounts determined to be payable pursuant to the Final Closing Statement shall be paid to either Sellers (in the case of a Final Closing Net Working Capital Overage) or Buyer (in the case of a Final Closing Net Working Capital Shortage) pursuant to Section 3.03(e) (the “Final Closing Payment”).
