Final Closing Statement definition
Final Closing Statement has the meaning set forth in Section 2.3(c).
Final Closing Statement means a final closing statement, prepared by Seller in accordance with the accounting policies used in preparing the Draft Closing Statement, on or before the thirtieth (30th) calendar day following the Closing Date setting forth both the Purchase Price, the Adjusted Payment Amount and the prorated Items of proration set forth in Section 3.4.
Final Closing Statement shall have the meaning specified in Section 1.5(c).
Examples of Final Closing Statement in a sentence
If Sellers and Buyer reach an agreement in writing as to any such objections within the Consultation Period, the amounts so agreed upon shall be final and such agreement shall be deemed to be included in the Final Closing Statement for purposes of Section 2.3(d).
If Sellers have accepted the Post-Closing Statement by written notice to Buyer or neither Seller has given written notice to Buyer setting forth any objection of Sellers to such Post-Closing Statement (such notice of objection, the “Statement of Objections”) prior to the expiration of the Review Period, then such Post-Closing Statement shall be final and binding upon the parties, and shall be deemed the Final Closing Statement for purposes of Section 2.3(d).

Final Closing Statement is defined in Section 3.4.
