Fixed Exchange Ratio. The fact that the exchange ratio is fixed, with no adjustment in the merger consideration to be received by TriState Capital shareholders as a result of possible increases or decreases in the trading price of Raymond James common stock or TriState Capital common stock following the announcement of the mergers, and that approximately 80% of the merger consideration would be in the form of Raymond James common stock, which would allow TriState Capital shareholders to participate in the future growth and opportunities of the combined company and the anticipated pro forma impact of the mergers, including the expected synergies from the mergers, and otherwise benefit from strong financial performance of Raymond James and potential appreciation in the value of Raymond James’s common stock.

The provisions of this paragraph shall apply in determining the equivalent principal amount in respect of Securities of a Series denominated in currency other than Dollars in connection with any action taken by Holders of Securities pursuant to the terms of this Indenture. All decisions and determinations of the Trustee regarding the Market Exchange Rate or any alternative determination provided for in the preceding paragraph shall be in the Trustee’s sole discretion, and shall, in the absence of manifest error, be conclusive to the extent permitted by law for all purposes and irrevocably binding upon the Company and all Holders.
