Prior to the sale of any Forward Hedge Securities, the related Forward Contract will be duly authorized, executed and delivered by the Company, enforceable against the Company in accordance with its terms.
Neither the Company nor the Operating Partnership is required, or upon the issuance, sale and/or delivery of the Securities or the Confirmation Securities pursuant to this Agreement or any Forward Contract and the application of the net proceeds therefrom as described in the Registration Statement and the Prospectus will be required, to register as an “investment company” under the Investment Company Act.
In connection with entering into any Forward Contract, the Company will not acquire any long position (either directly or indirectly, including through an Affiliate or through a derivative transaction) with respect to shares of Common Stock.
Except as disclosed in the Registration Statement and the Prospectus, the Company (i) does not have any material lending or other relationship with any bank or lending affiliate of the Sales Agent, the Forward Seller or the Forward Purchaser and (ii) does not intend to use any of the proceeds from the sale of the Securities or from any Forward Contract to repay any outstanding debt owed to any affiliate of the Sales Agent, the Forward Seller or the Forward Purchaser.
Except as disclosed in the Registration Statement and the Prospectus, there are no transfer taxes or other similar fees or charges under federal law or the laws of any state or any political subdivision thereof, required to be paid in connection with the execution and delivery of this Agreement and each Forward Contract or the issuance or sale of the Securities or the Confirmation Securities.
