Global Subscription Receipts means Subscription Receipts represented by an Uncertificated Subscription Receipt, or, if requested by CDS or the Corporation, by a Subscription Receipt Certificate, that is registered in the name of CDS, or its nominee, for the purpose of being held by or on behalf of CDS;

Examples of Global Subscription Receipts in a sentence

  • The rights of a Subscription Receiptholder whose Subscription Receipts are represented by the Global Subscription Receipts shall be exercised only through CDS and the CDS participants and shall be limited to those established by law and agreements between such holders and CDS and/or the CDS participants or upon instructions from the CDS participants.

  • Beneficial interests in the Global Subscription Receipts will be represented only through the Book-Entry Only System.

  • All references herein to actions by, notices given or payments made to Subscription Receiptholders shall, where Subscription Receipts are represented by the Global Subscription Receipts, refer to actions taken by, or notices given or payments made to, CDS upon instruction from the CDS participants in accordance with CDS’ rules and procedures.

  • Beneficial interests in the Global Subscription Receipts will be represented only through the Book-Based System.

  • Beneficial interests in Subscription Receipts represented by the Global Subscription Receipts will be represented only through the Book-Entry Only System.

  • All such Subscription Receipts issued in exchange for a Depository Global Subscription Receipt or any portion thereof shall be registered in such names as the Depository for such Depository Global Subscription Receipts shall direct and shall be entitled to the same benefits and subject to the same terms and conditions (except insofar as they relate specifically to Depository Global Subscription Receipts) as the Depository Global Subscription Receipts or portion thereof surrendered upon such exchange.

  • Except as provided in this Section 2.10, owners of beneficial interests in any Depository Global Subscription Receipts shall not be entitled to have Subscription Receipts registered in their names and shall not receive or be entitled to receive Subscription Receipt Certificates in definitive form or to have their names appear in the register referred to in Section 3.01(a) herein.

  • Beneficial interests in Subscription Receipts represented by the Global Subscription Receipts will be represented only through the BEO System.

  • For greater certainty, Underlying Common Shares issued or deemed issued pursuant to Restricted Global Subscription Receipts shall be represented by a separate global certificate issued under a CUSIP number dedicated to such Underlying Common Shares.

  • Beneficial interests in Subscription Receipts represented by Global Subscription Receipts will be represented only through the BEO System.

Related to Global Subscription Receipts

  • Subscription Receipts means the subscription receipts issued and certified hereunder and from time to time outstanding, each Subscription Receipt evidencing the rights set out in Subsection 2.2(a);

  • Global Securities means a Security or Securities, as the case may be, in the form established pursuant to Section 2.2 evidencing all or part of a Series of Securities, issued to the Depository for such Series or its nominee, and registered in the name of such Depository or nominee.

  • Subscription Receipt Agent means Computershare Trust Company of Canada;

  • Subscription Receipt Agreement means the agreement to be dated the Closing Date by and among the Corporation, the Cornerstones and the Subscription Receipt Agent governing the terms and conditions of the Subscription Receipts, in a form to be agreed by the Corporation and the Cornerstones, acting reasonably;

  • Annual Subscription means the subscription paid by a member in accordance with the Registered Clubs Act and being paid either annually or otherwise.
